General Terms of Delivery

Effective: September 13, 2026 · Applies to all orders placed with DELIKEMETAL (Hanzhong Delike New Materials Co., Ltd.)

1. Scope

These General Terms of Delivery apply to all quotations, sales and deliveries of chromium metal block, chromium metal powder, vacuum degassed chromium, electrolytic chromium metal and chrome corundum (“Products”) supplied by Hanzhong Delike New Materials Co., Ltd. (“DELIKEMETAL”, “we”). Any conflicting terms in a buyer’s purchase order apply only if confirmed by us in writing.

2. Quotations and Orders

All quotations are valid for 15 calendar days unless stated otherwise and are subject to material and freight cost movements. An order becomes binding upon our written order confirmation. Quantities, specifications and delivery schedules agreed in the order confirmation prevail over earlier correspondence.

3. Prices and Payment

• Prices are quoted in USD (or as agreed) and exclude VAT, duties and destination charges unless expressly included.
• New customers: typically 30% advance payment by T/T with the balance before shipment, or an irrevocable at-sight letter of credit (L/C).
• Established customers: net terms as agreed in the order confirmation.
• Bank charges at the buyer’s bank are for the buyer’s account.

4. Delivery Terms

Deliveries are made on Incoterms® 2020 terms agreed per order — commonly FOB Xingang (Tianjin) or CIF/CFR/DAP to the destination port or address. Risk passes in accordance with the agreed Incoterm. Where no term is agreed, EXW our works in Hanzhong, Shaanxi applies.

5. Lead Time and Shipping

Typical lead time is 15–30 days after receipt of advance payment or an operative L/C, depending on grade and quantity. Partial shipments are permitted unless excluded in the order confirmation. We reserve the right to ship from alternative Chinese ports if it improves the schedule.

6. Packing and Marking

Standard packing: steel drums of approx. 50 kg net or 250 kg net for most grades; powder grades in sealed steel drums or paper bags with PE liner; bulk loads on fumigated pallets or in big bags by agreement. Each unit is marked with product name, grade, batch number, net weight, gross weight and manufacturer. Special packing requirements must be agreed before order confirmation and may be charged separately.

7. Quality and Certificate of Analysis

Products are produced in compliance with ISO 10387:1994, GB/T 3211-2023 and related standards, or per the specification agreed in the order confirmation. Each shipment is accompanied by a Certificate of Analysis (COA) issued per production batch, stating the grade and measured chemical composition.

8. Inspection, Acceptance and Claims

• The buyer (or its nominated inspector, e.g. SGS/BV) may attend pre-shipment inspection by prior arrangement.
• Quality claims must be raised in writing within 30 days after arrival of the goods, supported by an analysis report from an independent laboratory.
• Weight claims must be raised within 14 days and be supported by certified weighing records.
• Claims raised later, or without supporting evidence, cannot be considered.

9. Liability

Our liability for defective Products is limited to replacement of the affected quantity or a credit note of the invoice value of the affected quantity, at our option. We are not liable for indirect or consequential losses, lost production, or processing costs. It is the buyer’s responsibility to verify suitability of the Products for its intended use before processing.

10. Force Majeure

Neither party is liable for delay or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, epidemics, war, strikes, port congestion, and changes in law or export regulations. The affected party shall notify the other without delay; delivery dates are extended accordingly.

11. Governing Law and Disputes

These terms and all contracts are governed by the laws of the People’s Republic of China. Disputes shall first be resolved by friendly negotiation; failing agreement within 60 days, they shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. The arbitration award is final and binding.
